  1. 180 DAY LICENSE
  2. This is a legal agreement ("Agreement") between you (either an
  3. individual or an entity), the end user ("Recipient"), and
  4. Microsoft Corporation ("Microsoft"). BY INSTALLING, COPYING OR
  5. OTHERWISE USING THE PRODUCT (AS DEFINED
  6. BELOW), YOU AGREE TO BE BOUND BY THE TERMS OF
  7. THIS AGREEMENT. IF YOU DO NOT AGREE TO THE
  8. TERMS OF THIS AGREEMENT, DO NOT INSTALL, COPY
  9. OR USE THE PRODUCT.
  10. MICROSOFT LICENSE AND NON-DISCLOSURE
  11. AGREEMENT FOR PRE-RELEASE CODE
  12. for the Microsoft Product code-named "Whistler"
  13. 1. GRANT OF LICENSE FOR DUAL DISTRIBUTION.
  14. (a) Microsoft may provide the software accompanying this
  15. Agreement (the "Product") as a web-based download or on a
  16. CD-ROM. Solely for internal testing, Microsoft grants
  17. Recipient a limited, non-exclusive, non-assignable,
  18. nontransferable, royalty-free license to: (i) install and
  19. use two (2) copies of the server software component of the
  20. Product on computers residing on Recipient's premises (a
  21. computer running the server software component of the
  22. Product shall be referred to as the "Server"), and (ii)
  23. install and use an unlimited number of copies of the client
  24. software components of the Product (including any profiles
  25. created using the Product), on client computers residing on
  26. Recipient's premises and connected to a Server. The
  27. foregoing server software component limit is aggregate and
  28. applies regardless of how many copies of the Product
  29. Recipient obtains from Microsoft. If Recipient is
  30. downloading the Product from a Microsoft web site,
  31. Recipient may make one (1) additional copy of the Product
  32. onto a CD-ROM to exercise the rights granted above. All
  33. other rights are reserved to Microsoft. Recipient shall
  34. not rent, lease, sell, sublicense, assign, or otherwise
  35. transfer the Product or any accompanying printed materials
  36. ("Documentation"). Recipient may not reverse engineer or
  37. decompile the Product, except to the extent that local law
  38. expressly prohibits the foregoing restriction. Recipient
  39. may not use the Product in a live operating environment
  40. where it may be relied upon to perform in the same manner
  41. as a commercially released product or with data that has
  42. not been sufficiently backed up. Recipient may not use the
  43. Product for benchmark or performance testing. Microsoft
  44. and its suppliers shall retain title and all ownership
  45. rights to the Product, and this Agreement shall not be
  46. construed in any manner as transferring any rights of
  47. ownership or license to the Product or to the features or
  48. information therein, except as specifically stated herein.
  49. (b) YOUR RIGHT TO USE THE PRODUCT SHALL BE
  50. EFFECTIVE FROM THE DATE YOU FIRST
  51. INSTALL ANY PORTION OF THE PRODUCT ON
  52. ANY DEVICE FOR A PERIOD OF ONE HUNDRED
  53. EIGHTY (180) DAYS. THE PRODUCT IS TIME
  54. SENSITIVE AND WILL NOT FUNCTION UPON
  55. EXPIRATION OF THE 180 DAY PERIOD.
  56. NOTICE OF EXPIRATION WILL NOT ACTIVELY
  57. BE GIVEN, SO YOU NEED TO PLAN FOR THE
  58. EXPIRATION DATE AND MAKE A COPY OF AND
  59. REMOVE YOUR IMPORTANT DATA BEFORE
  60. EXPIRATION. If you desire to use the Product after your
  61. evaluation is completed, you will need to acquire a validly
  62. licensed copy of the non-evaluation version of the Product.
  63. (c) At Microsoft's request, Recipient agrees to provide
  64. reasonable feedback to Microsoft, including but not limited
  65. to usability, bug reports and test results, with respect to
  66. the Product testing. In addition, if requested by
  67. Microsoft, Recipient will use reasonable efforts to review
  68. and comment on all documentation supplied. All bug
  69. reports, test results and other feedback made by Recipient
  70. shall be the property of Microsoft and may be used by
  71. Microsoft for any purpose it sees fit. Due to the nature
  72. of the development work, Microsoft is not certain if errors
  73. or discrepancies in the Product may be corrected.
  74. (d) Recipient's use of the Product shall take place solely at
  75. Recipient's site. Recipient may not demonstrate or show
  76. the Product to third parties without the express written
  77. permission of Microsoft.
  78. (e) Recipient's use of software applications installed on or
  79. accessed through the Product's IntelliMirror, Terminal
  80. Services, or application-sharing functionality may require
  81. additional licenses - please consult the license agreement
  82. accompanying such software.
  83. 2. TERM OF AGREEMENT. The term of this Agreement shall
  84. commence upon Recipient's copying, installing or
  85. using the Product and shall continue unless
  86. terminated by Microsoft in writing at any time, with
  87. or without cause. This Agreement will terminate
  88. without notice upon the commercial release of the
  89. Product. Upon the termination of this Agreement,
  90. Recipient shall cease use of the Product and, shall,
  91. upon request, promptly return to Microsoft, or
  92. certify destruction of, all full or partial copies of
  93. the Product and related materials provided by
  94. Microsoft.
  95. 3. SUPPORT. Microsoft is not obligated to provide technical
  96. or other support for the Product. However, limited
  97. technical support ("Support Services"), if noted in
  98. the materials provided to Recipient by Microsoft, may
  99. be available. Use of any such Support Services is
  100. governed by the Microsoft policies and programs
  101. described in "online" documentation, and/or in other
  102. Microsoft-provided materials. Any supplemental
  103. software code provided to Recipient as part of the
  104. Support Services shall be considered part of the
  105. Product and subject to the terms and conditions of
  106. this Agreement. With respect to technical
  107. information Recipient provides to Microsoft as part
  108. of the Support Services, Microsoft may use such
  109. information for its business purposes, including for
  110. product support and development. Microsoft will not
  111. utilize such technical information in a form that
  112. personally identifies Recipient. Such limited
  113. Support Services may not be available in all
  114. countries outside the United States and will be
  115. discontinued once the Product is commercially
  116. released.
  117. 4. MAINTENANCE. Microsoft is not obligated to provide
  118. maintenance, technical support, or updates to
  119. Recipient for Product licensed under this Agreement.
  120. In no event shall Microsoft be obligated to provide
  121. Recipient, free of charge, a copy of the commercial
  122. release version of the Product in connection with
  123. Recipient's participation in the testing program.
  124. Microsoft is not obligated to make the Product
  125. commercially available.
  126. 5. DISCLAIMER OF WARRANTIES. To the
  127. maximum extent permitted by applicable law, Microsoft
  128. and its suppliers provide to Recipient the Product
  129. and Support Services AS IS
  130. AND WITH ALL FAULTS; and
  131. Microsoft and its suppliers hereby disclaim with
  132. respect to the Product and Support Services all
  133. warranties and conditions, whether express, implied
  134. or statutory, including, but not limited to, any (if
  135. any) warranties, duties or conditions of or related
  136. to: merchantability, fitness for a particular
  137. purpose, lack of viruses, accuracy or completeness of
  138. responses, results, workmanlike effort and lack of
  139. negligence. ALSO THERE IS NO
  140. WARRANTY, DUTY OR CONDITION OF
  141. TITLE, QUIET ENJOYMENT, QUIET
  142. POSSESSION, CORRESPONDENCE TO
  143. DESCRIPTION OR NON-INFRINGEMENT.
  144. THE ENTIRE RISK ARISING OUT OF
  145. USE OR PERFORMANCE OF THE PRODUCT
  146. AND ANY SUPPORT SERVICES REMAINS
  147. WITH RECIPIENT.
  148. 6. EXCLUSION OF INCIDENTAL, CONSEQUENTIAL
  149. AND CERTAIN OTHER DAMAGES. TO
  150. THE MAXIMUM EXTENT PERMITTED BY
  151. APPLICABLE LAW, IN NO EVENT SHALL
  152. MICROSOFT OR ITS SUPPLIERS BE
  153. LIABLE FOR ANY SPECIAL,
  154. INCIDENTAL, INDIRECT, PUNITIVE OR
  155. CONSEQUENTIAL DAMAGES WHATSOEVER
  156. (INCLUDING, BUT NOT LIMITED TO,
  157. DAMAGES FOR: LOSS OF PROFITS,
  158. LOSS OF CONFIDENTIAL OR OTHER
  159. INFORMATION, BUSINESS
  160. INTERRUPTION, PERSONAL INJURY,
  161. LOSS OF PRIVACY, FAILURE TO MEET
  162. ANY DUTY (INCLUDING OF GOOD FAITH
  163. OR OF REASONABLE CARE),
  164. NEGLIGENCE, AND ANY OTHER
  165. PECUNIARY OR OTHER LOSS
  166. WHATSOEVER) ARISING OUT OF OR IN
  167. ANY WAY RELATED TO THE USE OF OR
  168. INABILITY TO USE THE PRODUCT OR
  169. THE SUPPORT SERVICES, OR THE
  170. PROVISION OF OR FAILURE TO
  171. PROVIDE SUPPORT SERVICES, OR
  172. OTHERWISE UNDER OR IN CONNECTION
  173. WITH ANY PROVISION OF THIS
  174. AGREEMENT, EVEN IF MICROSOFT OR
  175. ANY SUPPLIER HAS BEEN ADVISED OF
  176. THE POSSIBILITY OF SUCH DAMAGES.
  177. 7. LIMITATION OF LIABILITY AND REMEDIES.
  178. Notwithstanding any damages that Recipient might
  179. incur for any reason whatsoever (including, without
  180. limitation, all damages referenced above and all
  181. direct or general damages), the entire liability of
  182. Microsoft and any of its suppliers under any
  183. provision of this Agreement and your exclusive remedy
  184. for all of the foregoing shall be limited to actual
  185. damages incurred by Recipient based on reasonable
  186. reliance up to the greater of the amount actually
  187. paid by Recipient for the Product or U.S.$5.00. The
  188. foregoing limitations, exclusions and disclaimers
  189. shall apply to the maximum extent permitted by
  190. applicable law, even if any remedy fails its
  191. essential purpose.
  192. 8. GOVERNING LAW; ATTORNEYS' FEES. This
  193. Agreement shall be construed and controlled by the
  194. laws of the State of Washington and Recipient
  195. consents to the jurisdiction and venue in the federal
  196. courts sitting in King County, Washington, unless no
  197. federal subject matter jurisdiction exists, in which
  198. case Recipient consents to the jurisdiction and venue
  199. in the Superior Court of King County, Washington.
  200. Recipient waives all defenses of lack of personal
  201. jurisdiction and forum non conveniens. Process may
  202. be served on either party in the manner authorized by
  203. applicable law or court rule. If either Microsoft or
  204. Recipient employs attorneys to enforce any rights
  205. arising out of or relating to this Agreement, the
  206. prevailing party shall be entitled to recover
  207. reasonable attorneys' fees.
  208. 9. U.S. GOVERNMENT RESTRICTED RIGHTS. The
  209. Product and Documentation provided to the U.S.
  210. Government pursuant to solicitations issued on or
  211. after December 1, 1995 is provided with the
  212. commercial rights and restrictions described
  213. elsewhere herein. Product and Documentation provided
  214. to the U.S. Government pursuant to solicitations
  215. issued prior to December 1, 1995 is provided with
  216. RESTRICTED RIGHTS as provided for
  217. in FAR, 48 CFR 52.227-14 (JUNE 1987) or FAR, 48 CFR
  218. 252.227-7013 (OCT 1988), as applicable.
  219. 10. EXPORT RESTRICTIONS. Recipient
  220. acknowledges that the Product is of U.S. origin.
  221. Recipient agrees to comply with all applicable
  222. international and national laws that apply to these
  223. products, including the U.S. Export Administration
  224. Regulations, as well as end-user, end-use and
  225. country destination restrictions issued by U.S. and
  226. other governments. For additional information on
