  2. END-USER LICENSE AGREEMENT
  3. IMPORTANT-READ CAREFULLY: This End-User
  4. License Agreement ("EULA") is a legal agreement between you
  5. (either an individual or a single entity) and Microsoft
  6. Corporation for the Microsoft software product identified above,
  7. which includes computer software and may include associated
  8. media, printed materials, "online" or electronic documentation,
  9. and Internet-based services ("Product"). An amendment or
  10. addendum to this EULA may accompany the Product. YOU AGREE TO BE
  11. BOUND BY THE TERMS OF THIS EULA BY
  12. INSTALLING, COPYING, OR OTHERWISE USING THE
  13. PRODUCT. IF YOU DO NOT AGREE, DO NOT INSTALL
  14. OR USE THE PRODUCT.
  15. 1. GRANT OF LICENSE. Microsoft grants you the following rights
  16. provided that you comply with all terms and conditions of
  17. this EULA:
  18. * Installation and use. You may install and use copies of
  19. the Product on computers, such as workstations, terminals
  20. or other devices ("Workstation Computers") that are running
  21. a validly licensed copy of Microsoft Windows XP
  22. Professional.
  23. * Reservation of Rights. Microsoft reserves all rights not
  24. expressly granted to you in this EULA.
  25. 2. UPGRADES. To use a Product identified as an upgrade, you
  26. must first be licensed for the product identified by
  27. Microsoft as eligible for the upgrade. After upgrading,
  28. you may no longer use the product that formed the basis for
  29. your upgrade eligibility.
  30. 3. ADDITIONAL SOFTWARE/SERVICES. This EULA
  31. applies to updates, supplements, add-on components,
  32. or Internet-based services components, of the Product that
  33. Microsoft may provide to you or make available to you after
  34. the date you obtain your initial copy of the Product,
  35. unless we provide other terms along with the update,
  36. supplement, add-on component, or Internet-based services
  37. component. Microsoft reserves the right to discontinue any
  38. Internet-based services provided to you or made available
  39. to you through the use of the Product.
  40. 4. TRANSFER-Internal. You may move the Product to a different
  41. Workstation Computer. After the transfer, you must
  42. completely remove the Product from the former Workstation
  43. Computer. Transfer to Third Party. The initial user of
  44. the Product may make a one-time transfer of the Product to
  45. another end user. The transfer has to include all
  46. component parts, media, printed materials, this EULA, and
  47. if applicable, the Certificate of Authenticity. The
  48. transfer may not be an indirect transfer, such as a
  49. consignment. Prior to the transfer, the end user receiving
  50. the transferred Product must agree to all the EULA terms.
  51. No Rental. You may not rent, lease, lend or provide
  52. commercial hosting services to third parties with the
  53. Product.
  54. 5. LIMITATION ON REVERSE ENGINEERING,
  55. DECOMPILATION, AND DISASSEMBLY. You
  56. may not reverse engineer, decompile, or disassemble the
  57. Product, except and only to the extent that it is expressly
  58. permitted by applicable law notwithstanding this
  59. limitation.
  60. 6. TERMINATION. Without prejudice to any other rights,
  61. Microsoft may cancel this EULA if you do not abide by the
  62. terms and conditions of this EULA, in which case you must
  63. destroy all copies of the Product and all of its component
  64. parts.
  65. 7. SUPPORT SERVICES. No technical support will be provided for
  66. the Product.
  67. 8. DESCRIPTION OF OTHER RIGHTS AND
  68. LIMITATIONS.
  69. * NetMeeting/Remote Assistance/Remote Desktop Features. The
  70. Product may contain NetMeeting, Remote Assistance, and
  71. Remote Desktop technologies that enable the Product or
  72. other applications installed on the Workstation Computer
  73. to be used remotely between two or more computers, even if
  74. the Product or application is installed on only one
  75. Workstation Computer. You may use NetMeeting, Remote
  76. Assistance, and Remote Desktop with all Microsoft products;
  77. provided however, use of these technologies with certain
  78. Microsoft products may require an additional license. For
  79. Microsoft and non-Microsoft products, you should consult
  80. the license agreement accompanying the applicable product
  81. or contact the applicable licensor to determine whether use
  82. of NetMeeting, Remote Assistance, or Remote Desktop is
  83. permitted without an additional license.
  84. * Consent to Use of Data. You agree that Microsoft and its
  85. affiliates may collect and use technical information
  86. gathered as part of the product support services provided
  87. to you, if any, related to the Product. Microsoft may use
  88. this information solely to improve our products or to
  89. provide customized services or technologies to you and will
  90. not disclose this information in a form that personally
  91. identifies you.
  92. * Internet-Based Services Components. The Product contains
  93. components that enable and facilitate the use of certain
  94. Internet-based services. You acknowledge and agree that
  95. Microsoft may automatically check the version of the
  96. Product and/or its components that you are utilizing and
  97. may provide upgrades or fixes to the Product that will be
  98. automatically downloaded to your Workstation Computer.
  99. 9. NOT FOR RESALE SOFTWARE. Product
  100. identified as "Not for Resale" or "NFR," may not be resold,
  101. transferred or used for any purpose other than
  102. demonstration, test or evaluation.
  103. 10. ACADEMIC EDITION SOFTWARE. To use
  104. Product identified as "Academic Edition" or "AE," you must
  105. be a "Qualified Educational User." For qualification
  106. -related questions, please contact the Microsoft Sales
  107. Information Center/One Microsoft Way/Redmond, WA 98052-6399
  108. or the Microsoft subsidiary serving your country.
  109. 11. EXPORT RESTRICTIONS. You acknowledge
  110. that the Product is of U.S. origin and subject to U.S.
  111. export jurisdiction. You agree to comply with all
  112. applicable international and national laws that apply to
  113. the Product, including the U.S. Export Administration
  114. Regulations, as well as end-user, end-use, and destination
  115. restrictions issued by U.S. and other governments. For

  118. 12. DISCLAIMER OF WARRANTIES. TO THE MAXIMUM
  119. EXTENT PERMITTED BY APPLICABLE LAW,
  120. MICROSOFT AND ITS SUPPLIERS PROVIDE TO
  121. YOU THE PRODUCT AND SUPPORT SERVICES
  122. (IF ANY) AS IS AND WITH ALL FAULTS; AND
  123. MICROSOFT AND ITS SUPPLIERS HEREBY
  124. DISCLAIM WITH RESPECT TO THE PRODUCT
  125. ALL WARRANTIES AND CONDITIONS, WHETHER
  126. EXPRESS, IMPLIED OR STATUTORY,
  127. INCLUDING, BUT NOT LIMITED TO, ANY (IF
  128. ANY) WARRANTIES, DUTIES OR CONDITIONS
  129. OF OR RELATED TO: MERCHANTABILITY,
  130. FITNESS FOR A PARTICULAR PURPOSE, LACK
  131. OF VIRUSES, ACCURACY OR COMPLETENESS
  132. OF RESPONSES, RESULTS, WORKMANLIKE
  133. EFFORT AND LACK OF NEGLIGENCE. ALSO
  134. THERE IS NO WARRANTY, DUTY OR CONDITION
  135. OF TITLE, QUIET ENJOYMENT, QUIET
  136. POSSESSION, CORRESPONDENCE TO
  137. DESCRIPTION OR NON-INFRINGEMENT. THE
  138. ENTIRE RISK ARISING OUT OF USE OR
  139. PERFORMANCE OF THE PRODUCT AND ANY
  140. SUPPORT SERVICES REMAINS WITH YOU.
  141. 13. EXCLUSION OF INCIDENTAL, CONSEQUENTIAL
  142. AND CERTAIN OTHER DAMAGES. TO THE
  143. MAXIMUM EXTENT PERMITTED BY APPLICABLE
  144. LAW, IN NO EVENT SHALL MICROSOFT OR ITS
  145. SUPPLIERS BE LIABLE FOR ANY SPECIAL,
  146. INCIDENTAL, PUNITIVE, INDIRECT, OR
  147. CONSEQUENTIAL DAMAGES WHATSOEVER
  148. (INCLUDING, BUT NOT LIMITED TO, DAMAGES
  149. FOR LOSS OF PROFITS OR CONFIDENTIAL OR
  150. OTHER INFORMATION, FOR BUSINESS
  151. INTERRUPTION, FOR PERSONAL INJURY, FOR
  152. LOSS OF PRIVACY, FOR FAILURE TO MEET
  153. ANY DUTY INCLUDING OF GOOD FAITH OR OF
  154. REASONABLE CARE, FOR NEGLIGENCE, AND
  155. FOR ANY OTHER PECUNIARY OR OTHER LOSS
  156. WHATSOEVER) ARISING OUT OF OR IN ANY
  157. WAY RELATED TO THE USE OF OR INABILITY
  158. TO USE THE PRODUCT, THE PROVISION OF
  159. OR FAILURE TO PROVIDE SUPPORT OR OTHER
  160. SERVICES, INFORMATON, SOFTWARE, AND
  161. RELATED CONTENT THROUGH THE PRODUCT OR
  162. OTHERWISE ARISING OUT OF THE USE OF THE
  163. PRODUCT, OR OTHERWISE UNDER OR IN
  164. CONNECTION WITH ANY PROVISION OF THIS
  165. EULA, EVEN IN THE EVENT OF THE FAULT,
  166. TORT (INCLUDING NEGLIGENCE), STRICT
  167. LIABILITY, BREACH OF CONTRACT OR BREACH
  168. OF WARRANTY OF MICROSOFT OR ANY
  169. SUPPLIER, AND EVEN IF MICROSOFT OR ANY
  170. SUPPLIER HAS BEEN ADVISED OF THE
  171. POSSIBILITY OF SUCH DAMAGES.
  172. 14. LINKS TO THIRD PARTY SITES. You may link
  173. to third party sites through the use of the Product. The
  174. third party sites are not under the control of Microsoft,
  175. and Microsoft is not responsible for the contents of any
  176. third party sites, any links contained in third party
  177. sites, or any changes or updates to third party sites.
  178. Microsoft is not responsible for webcasting or any other
  179. form of transmission received from any third party sites.
  180. Microsoft is providing these links to third party sites to
  181. you only as a convenience, and the inclusion of any link
  182. does not imply an endorsement by Microsoft of the third
  183. party site.
  184. 15. LIMITATION OF LIABILITY AND REMEDIES.
  185. Notwithstanding any damages that you might incur for any
  186. reason whatsoever (including, without limitation, all
  187. damages referenced above and all direct or general
  188. damages), the entire liability of Microsoft and any of its
  189. suppliers under any provision of this EULA and your
  190. exclusive remedy for all of the foregoing shall be limited
  191. to the greater of the amount actually paid by you for the
  192. Product or U.S.$5.00. The foregoing limitations,
  193. exclusions and disclaimers (including Sections 12 and 13
  194. above) shall apply to the maximum extent permitted by
  195. applicable law, even if any remedy fails its
  196. essential purpose.
  197. 16. U.S. GOVERNMENT LICENSE RIGHTS. All
  198. Product provided to the U.S. Government pursuant to
  199. solicitations issued on or after December 1, 1995 is
  200. provided with the commercial license rights and
  201. restrictions described elsewhere herein. All Product
  202. provided to the U.S. Government pursuant to solicitations
  203. issued prior to December 1, 1995 is provided with
  204. "Restricted Rights" as provided for in FAR, 48 CFR 52.227
  205. -14 (JUNE 1987) or DFAR, 48 CFR 252.227-7013 (OCT 1988),
  206. as applicable.
  207. 17. APPLICABLE LAW. If you acquired this Product in the United
  208. States, this EULA is governed by the laws of the State of
  209. Washington. If you acquired this Product in Canada, unless
  210. expressly prohibited by local law, this EULA is governed
  211. by the laws in force in the Province of Ontario, Canada;
  212. and, in respect of any dispute which may arise hereunder,
  213. you consent to the jurisdiction of the federal and
  214. provincial courts sitting in Toronto, Ontario. If this
  215. Product was acquired outside the United States, then local
  216. law may apply.
  217. 18. ENTIRE AGREEMENT. This EULA (including
  218. any addendum or amendment to this EULA which is included
  219. with the Product) are the entire agreement between you and
  220. Microsoft relating to the Product and the support services
  221. (if any) and they supersede all prior or contemporaneous
  222. oral or written communications, proposals and
  223. representations with respect to the Product or any other
  224. subject matter covered by this EULA. To the extent the
  225. terms of any Microsoft policies or programs for support
  226. services conflict with the terms of this EULA, the terms
  227. of this EULA shall control.
  228. 19. The Product is protected by copyright and other intellectual
  229. property laws and treaties. Microsoft or its suppliers own
  230. the title, copyright, and other intellectual property
  231. rights in the Product. The Product is licensed, not sold.
